Terms & Conditions – FrappeDigital

1. Definitions

For the purposes of these Terms & Conditions, the following definitions apply:

  • “Platform” means the FrappeDigital website, applications, tools, services, and all related functionalities.
  • “Client” means the business entity using the Platform.
  • “Authorized User” means any individual designated by the Client to access the Platform.
  • “User Content” means all data, inputs, prompts, files, materials, and AI-generated outputs submitted, generated, or uploaded by the Client or Authorized Users.
  • “Third-Party Providers” means external service providers integrated into the Platform, including hosting providers, data processing services, IT services, and AI service providers (e.g., OpenAI, Google), who process data on our behalf in accordance with the GDPR or under equivalent safeguards.

2. Scope of the Terms

2.1 These Terms govern the Client’s access to and use of the Platform.

2.2 By accessing the Platform, the Client agrees to be bound by these Terms.

2.3 The Platform is offered exclusively to business clients, not to individual consumers.

3. Platform Operator

The Platform is operated by Daedalus New Media Research, personal data controller registered under number 12502.

4. Access to the Platform

4.1 Access is provided through user accounts created or authorized by the Client.

4.2 FrappeDigital provides the infrastructure for creating, managing, and revoking access credentials (login and password).

4.3 The Client is responsible for:

  • the proper use and confidentiality of all credentials;
  • ensuring that only Authorized Users access the Platform;
  • notifying FrappeDigital immediately when an Authorized User leaves the organization or if unauthorized access is suspected;
  • providing the hardware, software, and network required for access.

FrappeDigital may suspend access in case of security concerns.

5. Acceptable Use

5.1 The Client shall not:

  • grant access to unauthorized persons;
  • copy, replicate, modify, reverse-engineer, or interfere with the Platform’s components;
  • upload malicious code or disrupt Platform operations;
  • use the Platform for unlawful activities.

5.2 The Client is responsible for the accuracy, legality, and integrity of all User Content.

5.3 FrappeDigital does not guarantee the security of external internet connections or networks used by the Client.

6. Fees, Billing, and Payment

6.1 Prices for Platform services are displayed within the Platform.

6.2 If a validated billing address is provided, invoicing occurs upon delivery of results.

6.3 Standard payment term: 30 days from the invoice date unless otherwise agreed.

6.4 FrappeDigital may suspend services in case of late or unpaid invoices.

7. Intellectual Property

7.1 The Client owns all rights to User Content.

7.2 FrappeDigital owns the Platform, including software, architecture, design, source code, documentation, methods, and technical data (“FrappeDigital Materials”).

7.3 The Client may not use or reproduce FrappeDigital Materials except as necessary to use the Platform.

7.4 Any feedback, suggestions, or improvements submitted by the Client become the exclusive property of FrappeDigital.

8. Prohibited Content

The Client agrees not to upload, store, or generate through the Platform:

Legal/Technical Restrictions

  • malware, executables, hacking tools;
  • content used for illegal activities;
  • materials intended to circumvent security mechanisms;
  • any testing, scanning, or security assessment of the Platform without written authorization.

Content Restrictions

  • pornography, nudity, explicit sexual content;
  • personal data (including IP address, device ID, pseudonyms) through AI features;
  • GDPR-sensitive data (political opinions, health data, sexual orientation, etc.) unless specifically authorized and properly safeguarded;
  • racist, abusive, defamatory, discriminatory, or harmful content;
  • child exploitation or content involving minors in harmful contexts;
  • copyrighted materials without license;
  • any content intended to create competing services or models.

FrappeDigital may remove content or suspend Client access in case of violations.

9. Confidentiality

9.1 Both parties agree to maintain the confidentiality of all non-public information exchanged.

9.2 Obligations do not apply to information:

  • required to be disclosed by law;
  • already publicly available;
  • previously known by the receiving party without breach.

10. Data Protection

10.1 Processing of user and administrator personal data is performed according to the FrappeDigital Privacy Policy.

10.2 The Client is responsible for ensuring its own compliance with applicable data protection laws when submitting User Content.

11. Availability and Service Interruptions

11.1 FrappeDigital may perform maintenance, upgrades, or updates, which may cause temporary unavailability.

11.2 FrappeDigital is not liable for service interruptions caused by third-party providers, network failures, or force majeure events.

12. Suspension and Termination

12.1 FrappeDigital may suspend access in cases of:

  • maintenance, emergencies, or technical issues;
  • security concerns;
  • non-payment;
  • violation of these Terms.

12.2 Either party may terminate the Agreement with written notice if the other party commits a material breach and fails to remedy it within a reasonable period.

12.3 Upon termination, the Client’s access is disabled. FrappeDigital does not guarantee long-term storage of Client data unless otherwise agreed.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Romania.

Any disputes shall be settled exclusively by the competent courts of Bucharest, Romania.

14. Amendments

FrappeDigital may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the updated Terms.

15. Entire Agreement

These Terms constitute the entire agreement between the parties regarding the use of the Platform and supersede all prior understandings.
